These terms

These Terms of Use are between you and Shartey International Limited ("Shartey", "we", "us"). They govern our website and the associated services of our iOS and Android applications that present or link to these terms.

When you expressly accept these terms in an app or an account-registration process, you agree to them. If you do not agree, do not create an account or use the associated service. You must be able to enter into a binding agreement or have the authorisation of a parent or guardian where permitted and required.

Our Privacy Policy explains how we handle personal information. Acceptance of these terms is not consent to optional data processing. Nothing here restricts rights or remedies that cannot lawfully be restricted.

Your licence

Our software is licensed, not sold. Subject to these terms and applicable platform rules, you may use the relevant service for its intended purpose on devices you own or control. This permission is limited, non-exclusive and non-transferable, except where platform rules or applicable law allow otherwise.

For applications obtained through Apple's App Store, the Apple Standard End User License Agreement governs the software licence. These terms supplement that licence for Shartey's associated services; they do not replace it with a custom Apple EULA. If the provisions conflict on software licensing, the Apple Standard EULA controls.

We and our licensors retain rights in the software, branding and service materials. You may not resell, sublicense or commercially redistribute them without permission. Restrictions do not override applicable law or the licences of open-source components.

Accounts & security

Provide accurate account information and keep your credentials secure. Do not share credentials in a way that compromises the service or use another person's account without authorisation. Notify us promptly if you suspect unauthorised access.

You are responsible for activity you authorise and for taking reasonable care of your credentials. This does not make you responsible for security failures attributable to us or remove our data-protection obligations.

Your content

You retain ownership of content you create or upload. You give us a limited permission to host, copy, transmit and process it only as needed to provide and secure the features you choose, respond to your requests and comply with legal obligations.

This permission does not transfer ownership, authorise advertising use or allow external AI training. It ends when the content is deleted, subject to the limited backup and legally required retention described in our Privacy Policy.

You must have the rights necessary to provide your content and must not knowingly infringe another person's rights. Keep independent copies of information that is important to you; this recommendation does not exclude any responsibility we have for loss caused by our breach.

Acceptable use

Do not use the service to:

  • Break the law, infringe intellectual-property or privacy rights, or upload unlawful content.
  • Impersonate others, commit fraud, threaten or harass people, or distribute malicious software.
  • Access accounts or systems without permission, disrupt the service, evade security controls or impose abusive automated traffic.
  • Copy, reverse-engineer or modify the software except where expressly permitted by applicable law or an applicable open-source licence.

We may investigate misuse and take proportionate steps to protect users and the service. This does not prohibit lawful activity or give us ownership of your content.

Information, not advice

Descriptions of Shartey's financial-market research, private equity investments and off-market opportunities are general company information. This website is not an offer, invitation or recommendation to acquire an investment, and does not provide personalised financial, investment, legal or tax advice.

Do not treat general information as a guarantee of accuracy, completeness, future availability or investment performance. Obtain appropriate independent advice before making decisions that require it. We do not promise any financial result.

Apple, Google & other services

App-store downloads and any transactions you choose to make through a store are also subject to that store's applicable terms. Store-managed billing, cancellation and refund requests follow the store's procedures, without limiting mandatory consumer rights.

Shartey is responsible for its own services and support. Apple and Google do not become parties to these service terms merely by distributing an app. Their obligations under applicable law and their own agreements remain unaffected.

External websites and services have their own terms and privacy practices. We do not control them or guarantee their availability; this does not exclude responsibility for our own actions or for obligations we cannot lawfully exclude.

Availability & service changes

We may maintain, update or change the service, including for security or compatibility. We do not promise uninterrupted access, compatibility with every device or that a particular feature will remain available indefinitely.

Where a material change or discontinuation affects your rights or an ongoing paid service, we provide reasonable notice where practicable and honour any applicable rights to cancellation, refunds or other remedies. Urgent security or legal action may require changes without advance notice.

Warranties

To the maximum extent permitted by applicable law, the website and associated services are provided "as is" and "as available". We exclude warranties or conditions of uninterrupted operation, freedom from errors, merchantability, fitness for a particular purpose and non-infringement to the extent those exclusions are lawful.

No informal statement creates an additional warranty unless expressly agreed by us. This does not affect binding representations or statutory guarantees, including any requirement to provide services with reasonable care and skill.

Limits of liability

Mandatory rights come first. Nothing in these terms excludes or limits liability for fraud, fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability or remedy that cannot lawfully be excluded or limited. Your non-excludable consumer and data-protection rights remain intact.

Subject to that protection and to the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special or consequential losses, or loss of profit, revenue, business opportunities, goodwill or data arising from use of or inability to use the service. This exclusion does not apply where such a loss must be compensated under applicable law.

Subject to the same protections, our total aggregate liability for claims arising from the affected service is limited to the greater of the amount you paid us for that service in the 12 months before the event giving rise to the claim or US$50 (or its equivalent). A different mandatory limit or remedy prevails where required.

These limitations apply only to the extent they are enforceable. They do not transfer responsibility for our unlawful conduct to you and do not replace the software-licence provisions that apply under the Apple Standard EULA.

Business use

If you accept these terms on behalf of a business, you confirm you have authority to bind it. For business users only, and to the extent permitted by law, that business will reimburse our reasonable losses from third-party claims directly caused by its unlawful content, infringement of another person's rights or deliberate misuse of the service.

This obligation does not cover losses caused by our breach, negligence or misconduct. We must notify the business promptly, allow reasonable participation in the defence, mitigate losses and obtain consent before agreeing to a settlement that imposes an obligation on it. This clause does not apply to users acting as consumers.

Ending use

You may stop using the service and request deletion of your account at any time through the app or the account-deletion process. Uninstalling an app alone does not delete cloud data.

We may restrict or terminate access for a material breach, a security threat or a legal requirement. Where practicable, we provide notice and an opportunity to remedy a breach. Immediate action may be necessary to prevent harm or comply with law.

Ending access does not remove accrued rights, mandatory refunds or privacy rights. Content and account information are handled according to our Privacy Policy, not retained indefinitely merely because an account is suspended.

Changes & general terms

We may update these terms prospectively and identify the revision date above. Material changes are communicated through the relevant service, with renewed acceptance where required. Changes do not retrospectively remove accrued rights or authorise undisclosed data processing.

If a provision is unenforceable, the remaining provisions continue to apply so far as lawful. A delay in enforcing a right is not a waiver. No provision restricts access to a court, regulator or mandatory dispute-resolution process available to you.
